Real Estate and Financing:
Represent buyers and sellers in acquisition and dispositions of commercial and residential real estate
Negotiate and Prepare commercial real estate financing including, permanent, mezzanine and construction financing
Represent landlords and tenants in commercial leasing and property management matters
Represent real estate developers, on all aspects of development
Handle transactions involving real estate development incentives including, Tax Increment Financing, Rehabilitation Tax Credits, New Markets Tax Credits, Renewable Energry Tax Incenitves, Easement Donations and other public-private financing transactions, and transactions involving community and economic development
Prepare and negotiate construction agreements on behalf of owners and contractors and other related services, including mechanics liens
Advise real estate brokerage firm on agency and licensing issues, conflicts of interest, broker lien issues and rights and duties of sellers, buyers and brokers.
Corporate and Business Transactions:
Advise new and established businesses on the selection of the proper business entity
Structure and organize corporation, limited or general partnership, or limited liability company and prepare its related documentation
Provide guidance on issues specific to physicians and their practices
Negotiate and prepare commercial loan agreements, and structuring loans and workouts and other related security devices and guarantees
Handle the purchase and sale of a business and business assets
Counsel shareholders, members or partners on corporate, partnership or limited liability company matters or disputes
Draft, review and/or advise on employment-related matters, including employment and termination agreements
